Spa Owner Agreement (Platform Contract)
Effective Date: February 25, 2026
Parties: SpaCambodia Co., Ltd. ("Platform") and the registered spa operator ("Spa Owner")
1. Definitions
- "Platform" — spacambodia.com and all associated mobile/web applications operated by SpaCambodia Co., Ltd.
- "Spa Owner" — any registered business or individual operating a spa, wellness centre, or related service business listed on the Platform.
- "Booking" — a confirmed reservation made by a Customer through the Platform for a Service offered by the Spa Owner.
- "Customer" — any end-user who books a Service through the Platform.
- "Commission" — the percentage fee retained by the Platform on each completed Booking.
- "Service" — any treatment, package or wellness offering listed by the Spa Owner on the Platform.
2. Spa Owner Obligations
The Spa Owner agrees to:
- Provide accurate, current and complete information about Services, pricing, availability, location and media (photos/descriptions).
- Honour all confirmed Bookings and deliver Services at the standard described in the listing.
- Maintain all required business licences, health permits and regulatory approvals under Cambodian law.
- Ensure all therapists and staff hold valid qualifications and certificates required for the Services offered.
- Maintain a clean, safe and hygienic environment that meets local health department standards.
- Respond to Customer enquiries and Platform communications within 24 hours on business days.
- Notify the Platform at least 48 hours in advance of any temporary closure or service interruption.
- Not solicit Customers acquired through the Platform to book directly outside the Platform during the Agreement term and for 6 months after termination.
- Comply with SpaCambodia's Community Guidelines and Code of Conduct at all times.
3. Platform Obligations
SpaCambodia agrees to:
- List the Spa Owner's Services on the Platform and make them searchable by Customers.
- Provide a booking management dashboard, calendar tools and analytics reports.
- Process Customer payments securely and remit the Spa Owner's net earnings according to the Payment Schedule in Section 5.
- Provide first-line Customer support and mediation for booking disputes.
- Notify Spa Owners of policy or fee changes with at least 30 days written notice.
- Keep listing data confidential and not share it with direct competitors.
4. Commission & Fees

Commission is calculated on the total Booking value (excluding taxes). The Platform reserves the right to introduce new plans; existing Spa Owners will receive 30 days' notice of any change affecting their current plan.
5. Payment & Disbursement
- Customer payments are collected by the Platform via KHQR / ABA Pay / Visa / Mastercard.
- Net earnings (Booking value minus Commission and applicable taxes) are disbursed to the Spa Owner's designated bank account or ABA/Wing wallet every 7 days for completed bookings.
- Disbursements are subject to a minimum threshold of $10 USD (or KHR equivalent). Balances below this threshold carry over to the next cycle.
- The Platform may withhold disbursements for up to 14 days if a dispute or fraud investigation is ongoing.
- Refunds issued to Customers for eligible cancellations will be deducted from the Spa Owner's future disbursement.
6. Intellectual Property
- The Spa Owner grants SpaCambodia a non-exclusive, royalty-free, worldwide licence to use, display and reproduce the Spa Owner's name, logo, photos, descriptions and other content submitted to the Platform for promotional and marketing purposes (including advertising on social media, Google, and partner sites).
- The Spa Owner warrants that it owns or has the right to licence all submitted content, and that such content does not infringe any third-party intellectual property rights.
- All Platform technology, trademarks and brand assets remain the exclusive property of SpaCambodia Co., Ltd.
7. Cancellations & No-Shows
- Spa Owners must honour the cancellation policy selected during listing setup.
- If a Spa Owner cancels a confirmed Booking without an acceptable reason, the Spa Owner shall pay a penalty fee of 10% of the Booking value, deducted from the next disbursement.
- Repeated cancellations (3 or more in any 30-day period) may result in suspension or termination of the listing.
- Customer no-shows do not entitle the Spa Owner to additional compensation beyond the no-show policy applied to the Booking.
8. Reviews & Ratings
- Customers may submit reviews and ratings after a completed Booking. The Platform publishes all genuine reviews.
- Spa Owners may flag a review for Platform review if they believe it violates the community guidelines (e.g., defamatory, fake).
- Spa Owners must not solicit, incentivise or manipulate Customer reviews in any way. Violation may result in immediate suspension.
9. Suspension & Termination
- By Spa Owner: Either party may terminate this Agreement with 30 days written notice. Pending Bookings must be honoured prior to deactivation.
- By Platform (with notice): SpaCambodia may terminate with 14 days' notice if the Spa Owner's rating falls below 3.0 stars (average over the last 30 reviews).
- By Platform (immediate): SpaCambodia may immediately suspend or terminate a listing without notice for: fraud, illegal activity, serious safety incidents, repeated policy violations, or misrepresentation of services.
- Upon termination, any earned but undisbursed earnings (net of applicable deductions) will be paid within 30 days.
10. Confidentiality
Both parties agree to keep confidential all non-public business information shared in the course of this Agreement and not to disclose it to third parties without prior written consent, except as required by law.
11. Limitation of Liability
SpaCambodia's total liability to a Spa Owner under or in connection with this Agreement shall not exceed the total Commission received from that Spa Owner in the 3 months preceding the claim. SpaCambodia is not liable for lost profits, indirect or consequential damages of any kind.
12. Governing Law & Dispute Resolution
This Agreement is governed by the laws of the Kingdom of Cambodia. Any dispute that cannot be resolved amicably shall be referred to arbitration under the rules of the National Commercial Arbitration Centre of Cambodia (NCACC), with proceedings conducted in Phnom Penh in the Khmer or English language.
13. Amendments
SpaCambodia may amend this Agreement at any time with 30 days written notice to registered Spa Owners via email and an in-dashboard notification. Continued use of the Platform after the effective date of the amendment constitutes acceptance.
14. Entire Agreement
This Agreement, together with the Platform's Privacy Policy, Terms of Service, Refund Policy and Community Guidelines, constitutes the entire agreement between the parties and supersedes all prior understandings or arrangements.
